Terms and Conditions

As of October 2025

1. Scope

These terms govern contracts for goods and services/works (including consulting, planning/design, installation, electrical connection and commissioning of PV systems) between Sunzenith GmbH ("we") and customers.

2. Conclusion

  • [B2C] Offers are non-binding; a contract is formed upon acceptance (order confirmation, delivery or start of performance). Solar Calculator outputs are non-binding estimates.
  • [B2B] A contract is formed by written order confirmation.

3. Services

As set out in the offer/specification (planning/permit support, delivery, installation, electrical connection, commissioning, documentation). Changes/additional work are agreed before execution.

4. Prices & Payment/Set-off

  • [B2C] Prices in EUR incl. VAT, unless stated otherwise.
  • [B2B] Prices in EUR plus VAT; payment net within 30 days. Set-off/retention only with undisputed or finally adjudicated claims.
    Permitted payment methods as per offer/checkout. Statutory default interest/reminder fees apply. Progress payments for partial performance per Sec. 632a BGB.

5. Scheduling, Weather & Force Majeure

Dates are non-binding unless expressly fixed. Weather, supply chains, authority/DSO appointments and force majeure may affect timelines; deadlines are extended accordingly.

6. Customer Cooperation

Customer provides access, grid/house connection, permits (e.g., building/heritage), structural documents and a safe work environment (scaffolding, asbestos-free, access). Delays/shortfalls due to missing cooperation are not our responsibility; additional effort is chargeable.

7. Delivery/Shipment & Transfer of Risk

  • [B2C] Risk transfers upon handover to the consumer.
  • [B2B] Shipment EXW/Ex-Works unless agreed otherwise; risk transfers upon handover to the carrier.

8. Retention of Title

  • [B2C] Title remains with us until full payment.
  • [B2B] Extended/prolonged retention of title: title until settlement of all claims; revocable resale permitted in the ordinary course of business.

9. Acceptance (works)

After notification of readiness, we provide protocols/documentation. Acceptance occurs upon commissioning, intended use or is deemed if no notice of material defects is given within 7 days [B2C] / 30 days [B2B].

10. Changes/Variations

Unforeseen conditions (hidden building fabric/lines, changed routing, structural requirements) and customer change requests are treated as variations billed time & materials; schedules adjust.

11. Manufacturer Warranties (non-Sunzenith products)

For all products not branded “Sunzenith”, only the manufacturer’s warranties (if offered) apply. No own guarantee by Sunzenith GmbH unless expressly agreed in writing. Statutory warranty (Gewährleistung) remains unaffected. Warranty claims are usually pursued directly with the manufacturer; we may assist on request without legal obligation.

12. Defects / Limitation

  • [B2C] Statutory rights under sales/works law. Limitation periods per statute.
  • [B2B] Sec. 377 HGB notice of defects applies. Limitation 12 months for movable deliveries; 5 years for works on buildings. No reduction where intent, fraud, gross negligence or injury to life/limb/health is concerned.

13. Liability

Unlimited for intent/gross negligence, injury to life/limb/health, product liability and assumed guarantees. For simple negligence, liability exists only for cardinal duties and is limited to typical, foreseeable damage. [B2B] No liability for lost profits/production downtime except in cases of intent or gross negligence.

14. Yield/Economics

Yield/performance figures are simulations; actual values vary (weather, shading, soiling, usage). No yield guarantee.

15. Disposal/Packaging/WEEE

Packaging per VerpackG. WEEE/batteries via statutory return systems; product-specific instructions are provided by the respective manufacturer.

16. Right of Withdrawal (Consumers) [B2C]

  • Period: 14 days.
  • Start: goods – upon receipt; multiple/instalments – upon receipt of the last item/instalment; services/works – upon contract conclusion.
  • Exercise: notify Sunzenith GmbH, Berger Straße 175, 60385 Frankfurt am Main, widerruf@sunzenith.com. Timely dispatch is sufficient.
  • Effects: refund of all payments incl. standard delivery within 14 days using the same payment method unless agreed otherwise.
  • Return: send goods back within 14 days to [returns address]; you bear return costs unless agreed otherwise.
  • Value compensation: for excessive use beyond testing the nature, characteristics and functioning.
  • Early start of services (checkbox text):

I expressly request and consent that Sunzenith GmbH starts the service before
the withdrawal period ends. I acknowledge that I lose my right of withdrawal
upon full performance. If I withdraw after performance has begun, I will pay a
proportionate amount for services provided until withdrawal.
* Exclusions/Expiry: custom-made non-prefabricated goods (e.g., configured PV system); fully performed services after prior express consent/acknowledgement.

17. Privacy

Our Privacy Policy applies: [link]. For warranty handling/registration, data may be shared with manufacturers/service partners (see details there).

18. Subcontractors

Use of qualified subcontractors is permitted; we remain responsible.

19. Venue, Governing Law & Consumer Information [group-specific]

  • [B2C] German law applies; mandatory consumer protections of your residence remain unaffected. Note: The EU ODR platform was discontinued on 20 July 2025. Information on out-of-court consumer redress: Consumer Redress in the EU – https://consumer-redress.ec.europa.eu/.
  • [B2B] Place of performance and venue—where permitted—Frankfurt am Main. German law; CISG excluded.

20. Severability

If any provision is invalid, the remainder remains unaffected; the statutory rule applies in place of the invalid provision.
